Volkswagen South Africa “Lionesses Den” Competition Terms and Conditions:

1. Overview:

1.1. Volkswagen South Africa (Pty) Ltd (“Volkswagen”) is looking to support “Lionesses of Africa” by providing financial assistance to three female-owned businesses in its South African network.
If you are a Lionesses of Africa member in South Africa, with a business which needs support, you are invited to enter the Lionesses Den Competition where the winning entries will receive a prize on terms and conditions as set out below.

2. Application and Promoters:

2.1. Please read these Competition terms and conditions (“Terms”) carefully. They apply to all persons entering the ‘Lionesses Den’ Competition (the “Competition”) conducted by Volkswagen, situated at 129 Patricia Road, Sandton, 2031, Tel: 011 911 2700 and facilitated by Volkswagen’s marketing agency Bonfire Media, 31 Oxford Road, Forest Town, Johannesburg, 2193, Tel: 011 492 7037 (collectively “the Promoters”).

3. Terms:

3.1. Instructions on how to enter this Competition, including all rules, mechanics, procedures, directions and all prizes, form part of these Terms. If you take part in this Competition, you expressly agree to be bound by these Terms and accept that the Promoters’ decision is final and shall be made in the Promoters’ sole, absolute and unfettered discretion, and no correspondence will be entered into. Prizes are not transferable or exchangeable in any form.

4. Eligibility:

4.1. The competition is only open to women who are registered members of the Lionesses of Africa community [at] who have a registered South African business or organization; and who at the time of entering the Competition are over the age of 18 (eighteen) years. You must be in possession of a valid South African Identity document (or other legal document confirming your identity and residency in South Africa).
4.2. Additionally persons who are excluded from entering the Competition include any director, member, partner, employee, agent of, or consultant (“Associates”) of the Promoters and/or Volkswagen, or any other person who directly or indirectly controls, is employed by or is controlled by the Promoters, and/or immediate family members of Associates, who are indirectly or directly connected to or employed by any party in the aforementioned capacities or relationships, their advertising agencies, manufacturers, or distributors (“Disqualified Persons”).

5. Competition Duration:

5.1. The Competition will run from 01 July 2020 at 00:01 and will end on 2 August 2020 at 23:59 (“Competition Duration”).

6. Entry process and rules:

6.1. Fill in your personal and business details on the “competition website” (; and submit a video pitch of maximum 2 (two) minutes duration in order to qualify as an “entry”.
6.2. Only 1 (one) submission per person will be permitted.
6.3. Entries on any other platform will not be eligible for the Competition.
6.4. All mandatory fields must be completed in order to be considered a valid entry.
6.5. By submitting information and your entry, you:
6.5.1. Confirm that you are the owner of the business, that the information contained in the pitch is original, that no other party has any rights to it, and that you have obtained all required consents and permits to enable you to submit the pitch as your own intellectual property;
6.5.2. Warrant that the submission does not include content: which infringes upon the rights of any third party including, without limitation, intellectual property rights, privacy, publicity or any other personal or proprietary right; that is deceptive or fraudulent; which promotes conduct that is reckless, unlawful or places the health and safety of others in danger.

7. Prizes:

7.1. There are a total of 3 (three) prizes which stand to be won in the Competition: 1 (one) first prize of R100 000.00 (one hundred thousand rands) only; 1 (one) second prize of R50 000.00 (fifty thousand rands) only; and 1 (one) third prize of R25,000.00 (twenty five thousand rands) only. All prizes also include a one-on-one, up to one-hour mentoring session with a Lionesses of Africa leader.
7.2. There may be tax implications regarding the cash prizes. The successful participants are responsible for obtaining independent tax advice. Volkswagen shall not be responsible for any tax obligations arising from participation in the Competition.

8. Winner Selection:

8.1. All valid entries will be reviewed by an evaluation committee, which will consist of a panel of four judges selected by Volkswagen, Lionesses of Africa and the Promoters.
8.2. The judges will select the winners based on the following criteria: the business model, validity and uniqueness of the business, strategic direction of the business, product/service offered, the vision for the business, the impact of the business has made, opportunity in the market, the entrepreneur’s delivery of pitch, financial need and the entrepreneur’s alignment with Volkswagen’s tonality and ethics.
8.3. The judges’ decision shall be final.
8.4. Winners will be announced within 15 (fifteen) working days from the end of the Competition.
8.5. Possible prize winners will be contacted by the Promoters via the email address provided by the entrant on the Competition website.
8.6. Possible prize winners will be required to participate in an audit verification process (which includes but is not limited to providing their proof of engagement with the competition in accordance with the entry mechanics), and will provide a copy of their Identity Document/Proof of Residence, COR14.1, COR14.3, banking confirmation letter and memorandum of incorporation. The audit verification process may also include an audit of your financial statements to ensure they are in satisfactory order as well as a compliance and integrity check.

9. Prize Award and Redemption:

9.1. Once the verification process has been successfully completed, the winners will be declared and notified via the email address provided during the entry application process. Declared and verified winners will be contacted by the Promoters to facilitate redemption of their Prize into their South African bank account within 15 (fifteen) working days from the end of the Competition Duration. If the Promoters are unable to make successful contact with the winner via the email address provided, to complete the audit verification, they will continue to send messages via the said email address for 72 (seventy two) hours where after the potential winner will be deemed to have forfeited the respective prize and a replacement/ substitute winner will be selected in the same manner as the first.
9.2. Winners will attend the “Lioness Lean In event” which will take place on 21 August 2020 or any other suitable date at Volkswagen and Lionesses of Africa’s sole discretion.

10. Usage Rights and Media:

10.1. Winners’ names may be published on the Promoters social media sites. The Promoters may request the winner to be identified and photographed and to have the photographs published in various media, including but not limited to print, online and web-based media, or to appear on radio and television, when accepting their prizes, as well as after having received their prizes or for the Promoters’ marketing material in so far as it relates to the Competition. No fee will be payable. All intellectual property in the images or Competition footage shall vest in Volkswagen. All participants are deemed to have read and understood the terms and conditions of applicable social media sites, Promoters’ website, and of Participant’s mobile network service provider.

11. Transgressions:

11.1. The copyright, intellectual property rights, image rights and any other rights vesting in any promotional Competition footage, posts and photographs (whether depicting the winner and partners or not) shall become the property of the Promoters, who reserve the right to use it in any way it deems fit.
11.2. Any attempt to damage or interfere with microsites, mobile sites, websites or any social media used in connection with the Competition or the information on it, or to otherwise undermine the legitimate operation of the Competition may be a violation of criminal and civil laws and should such an attempt be made, whether successful or not, the Promoters reserve the right to seek damages to the fullest extent permitted by law. The Promoters also reserve the right (subject to applicable law) to disqualify or ban any individual who tampers with or attempts to subvert or interfere with the Competition mobile site, website, entry process or prize retrieval process.
11.3. Any participant who transgresses any of these Terms or who acts in any way contrary to the spirit of this Competition may be disqualified from entry into this competition.

12. Technical failures and Unauthorized intervention:

12.1. If for any reason the Competition is not capable of running as planned as a result of any technical failures, unauthorized intervention, computer virus, mobile network failure, social media site downtime, tampering, fraud or any other causes beyond the Promoters’ control which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Competition, the Promoters reserve the right to cancel, terminate, modify or suspend the Competition or to disqualify or ban any individual who whether directly or indirectly causes or has caused or has attempted to cause the problem. If an act, omission, event or circumstance occurs which is beyond the reasonable control of the Promoters and which prevents the Promoters from complying with these Terms, the Promoters will not be liable for any failure to perform or delay in performing its obligation.

13. Cancellation and Amendment:

13.1. Promoters reserve the right to cancel or amend or alter the Competition and its Terms, if deemed necessary in their opinion or if circumstances arise outside of their control, without prior notice and no participant shall have recourse for such cancellation or alteration. Any changes will be posted on the competition website and shall become effective immediately after being altered or on such date as may be determined by the Promoters. No participant shall have any recourse against the Promoters as a result of any alteration of the Terms or Prizes.

14. Invalid Entries:

14.1. Entries which are incomplete, unclear, submitted via an incorrect entry mechanism, submitted after the last day of entry or which contain errors or false information, or are from Disqualified Persons will be declared invalid. The Promoters may refuse to award the prize if the Terms have not been adhered to or if the Promoters detect any irregularities or fraudulent practices.

15. Limitation of Liability:

15.1. To the maximum extent permitted by law, the participants, winners, and/or users of the prizes indemnify and hold the Promoters, their advertising agencies, advisers and nominated agents and each of their affiliates blameless for any loss, damage, harm or injury, which the participants, prize winners or users of the prizes may sustain as a result of any claim which may be made against it by any third party. The participants, winners or users of the prizes indemnify the Promoters, their advertising agencies, advisers, nominated agents, suppliers, its affiliates or associated companies against any claim of any nature whatsoever arising out of or from their participation in any way in the Competition or their use of the prizes (including, as the result of any act or omission, whether negligent or otherwise on the part of the Promoters).

16. Non-Waiver of Terms:

16.1. A failure by the Promoters to enforce any one of the Terms in any instance(s) will not give rise to any claim or right of action by any participant or prize winner, nor shall it be deemed to be a waiver of any of the Promoters’ rights in relation to the same.

17. Legal Compliance:

17.1. All participants are advised that in compliance with the laws of the countries in which the Promoters operate, the Promoters are required to retain certain information (where applicable) of participants and winners for a period of three years (“Personal Information”). Such Personal Information to be retained by the Promoters includes (but is not limited to) the full names, identity numbers, contact details and winners’ acknowledgement of prize receipts. The Personal Information collected will only be used for the purposes of this competition and for no other purpose and will be processed strictly in terms of the Protection of Personal Information Act.
17.2. The Promoters will also require the winners to complete and submit an information disclosure agreement and indemnification to enable the Promoters to ensure compliance with these rules, as well as with the South African Consumer Protection Act 68 of 2008 (“Consumer Act”). Should any participant or winner refuse or be unable to comply with this rule for any reason, such participant or winner will be deemed to have rejected the prize and it shall revert back to the Promoters.

18. Severability:

18.1. If any provision of these Terms is found to be invalid or unenforceable by any court of competent jurisdiction, then that provision shall be severed from these Terms and shall not affect the validity or enforceability of any remaining provisions.

19. Law and jurisdiction:

19.1. These Terms shall be governed by the laws of South Africa. The participant consents to the non-exclusive jurisdiction of the High Court (Gauteng Local Division, Johannesburg) in respect of all matters arising out of or in connection with the Terms.
